Terms of service
Agreement and accounts
These terms govern your use of parametra.net, the iCity add-on, and its associated cloud generation, asset-library, and account services, collectively the “Service”.
The Service is provided by Parametra Technologies QFZ LLC, trading as Parametra (“Parametra”, “we”, or “us”).
By accepting these terms when registering, purchasing, or installing the Service, you agree to be bound by them. If you act on behalf of an organisation, you must have authority to bind that organisation.
You must have legal capacity to enter into this agreement. Keep your account information accurate, protect your login credentials, and notify us promptly of suspected unauthorised access. Each user must use their own account.
Licence and seats
Subject to these terms, we grant you a limited, non-exclusive licence to use the Service within the features and permissions included in your plan.
Paid access is licensed per seat for the monthly or annual subscription term purchased. Each person using paid features requires an assigned seat. Team subscriptions require at least three seats unless a separate written agreement provides otherwise.
An organisation is responsible for managing its authorised users and shared credit usage. Organisation administrators may manage organisation projects, assets, and membership within the permissions provided by the Service.
Free local drawing and editing remain available as described in the free plan. A paid subscription does not grant perpetual access to paid features or cloud services.
Separate open-source licences take precedence for any software components they cover.
Commercial use and project rights
The free tier is for non-commercial use. Indie provides a solo commercial licence. Studio and Team permit commercial and client work, including films, games, simulations, visualisations, and planning studies, subject to the seats and permissions purchased.
Under an appropriate commercial plan, you may incorporate authorised iCity outputs and library assets into your projects and distribute the resulting projects. You may provide clients with finished deliverables and project files containing those assets where necessary to use the commissioned work.
This permission does not allow you or your clients to extract and redistribute Parametra's pre-existing library as standalone assets, asset packs, templates whose primary value is those library assets, or a competing asset library. Clients who operate iCity themselves require their own appropriate licence.
The restriction on redistribution of the library does not prevent you from distributing newly generated paid assets in which you hold the rights described in section 04, provided that you do not redistribute restricted pre-existing or third-party materials with them.
Rights validly acquired to use outputs and assets incorporated into projects during a paid subscription continue after ordinary cancellation or expiry, subject to these terms and any applicable third-party licences. Continued access to paid tools, cloud processing, and hosted downloads is separate from those project rights.
Paid and free-tier generated assets
Paid subscriptions
As between you and Parametra, you retain the rights you may lawfully hold in assets generated for you under a paid subscription. To the extent Parametra holds assignable rights in newly generated portions of those assets, Parametra assigns those rights to you.
We do not use paid customer generations for model training or make them available to other customers through our asset library. We host and process them to provide the Service, support, and security, and to comply with law.
This does not transfer ownership of the iCity software, pre-existing library assets, or third-party materials incorporated into an output. Those materials remain subject to their applicable licences. AI-generated content may not qualify for copyright protection and may resemble content generated for others.
Free-tier generations
You may use assets generated under the free tier under its non-commercial licence. You also grant Parametra a non-exclusive, worldwide, royalty-free licence to retain, reproduce, modify, and use those generated assets for AI training, testing, and improvement, and to distribute and sublicense them through Parametra's asset library, including for commercial use by Parametra and its licensees.
This licence covers generated assets, not your original uploaded scenes, reference images, prompts, or other source material. Free-tier generated assets are not exclusive to you.
The licence continues for free-tier assets retained for these purposes after an upgrade or account closure, subject to applicable law and personal-data rights. Upgrading does not automatically withdraw permissions already granted for free-tier generations.
Treatment depends on the plan under which an asset was generated. Canceling or downgrading a paid subscription does not convert earlier paid generations into free-tier assets or grant Parametra training or library-reuse rights in them.
Uploaded content and cloud processing
You retain your rights in your original uploaded content. You must have the rights and permissions necessary to upload and process your prompts, reference images, models, scenes, and other content, including material belonging to clients or other people.
iCity uses cloud-hosted Blender processing, language and image models, custom 3D-generation AI, and PBRFusion AI. Cloud features transmit the content needed to perform the requested work. Depending on the feature, this may include scene geometry, scene settings, reference images, prompts, and project information.
You grant Parametra a non-exclusive, worldwide, royalty-free licence to host, copy, process, modify, and transmit your inputs and outputs as reasonably necessary to provide the requested Service, deliver results, maintain security, and investigate support issues. We may permit our hosting and processing providers to perform these activities on our behalf.
This processing licence does not transfer ownership of your inputs or grant a general right to train models on them. Additional rights in free-tier generated assets are limited to section 04. We do not use your private uploaded content or paid generations in advertising without separate permission.
Personal information is handled as described in our Privacy Policy.
Hosting and deletion
We host paid customers' generated assets and associated generation content while their paid subscription remains active.
Canceling automatic renewal does not immediately end paid access. Hosting continues until the end of the paid subscription period, unless an earlier termination takes effect, including following a full subscription refund.
We delete the customer's hosted generation content within seven calendar days after paid access ends. This includes generated assets, intermediate generation files, and uploaded inputs retained as part of those generation jobs. Download any files you want to keep before paid access ends.
The seven-day period is a deletion period, not an extension of paid features or guaranteed download access. Deletion of hosted files does not remove copies you have already downloaded or automatically end your validly acquired licence to use them.
Free-tier generated assets retained for the training and library purposes in section 04 follow that separate permission. Account, invoice, payment, credit-transaction, support, and security records follow their separate retention periods. Any content that must be retained to comply with law or preserve evidence for a legal claim is restricted to that purpose.
Subscriptions, payments, and credits
Paddle acts as the authorised reseller and merchant of record for purchases made through Paddle checkout. Its applicable Buyer Terms govern that purchase relationship.
The price, currency, taxes, billing period, and recurring total are shown at checkout. Subscriptions renew automatically at the agreed billing interval unless canceled before renewal.
Subscription credits are allocated monthly according to your plan, including where the subscription is billed annually. Credit-pack allocations and any expiry or rollover conditions must be disclosed before purchase. Launch bonus credits advertised as non-expiring retain that benefit.
Credits measure access to chargeable cloud work. They are not money and cannot be sold or exchanged for cash, except through an eligible refund or where required by law.
Cloud work is charged according to measured usage and the applicable published credit rates. Estimates are indicative and are not guaranteed maximum charges. Regeneration and additional variations are separate jobs and may consume additional credits.
Because usage is settled after work is performed, the final debit may exceed the balance available when a job began. A negative credit balance does not itself authorise an additional payment-method charge.
Usage may be charged to your personal balance or an organisation's shared balance according to the project and account arrangements. Contact support if you believe a debit is incorrect. Our usage records remain subject to investigation and correction.
Any increase to your recurring subscription price will be notified in advance and take effect no earlier than a future renewal, with an opportunity to cancel beforehand. Changes to credit rates apply prospectively and will be disclosed before they apply to new work.
Restrictions
You must not:
- Resell or share account access, or use fewer seats than your authorised users require.
- Redistribute the proprietary add-on or asset library except as expressly permitted by these terms or an applicable software licence.
- Bypass authentication, payment controls, credit accounting, or service limits.
- Upload unlawful material or infringe another person's intellectual-property, privacy, or other rights.
- Introduce malicious software, disrupt the Service, or access another customer's data without permission.
- Scrape or extract the asset library in bulk, or use it to supply a competing asset-distribution service.
- Misuse trial accounts, promotional offers, or refund processes.
These restrictions do not limit rights that applicable law or an open-source licence expressly grants.
Updates, support, and third-party software
Updates within your licensed major version are included during your paid subscription. A subscription does not promise delivery of a particular future feature or major version.
Support is provided through email and our designated Discord channels, subject to your plan. We aim to respond within 24 to 48 hours, but this is a response target and does not guarantee resolution within that time.
iCity requires compatible third-party 3D software and, for cloud features, an internet connection. Supported versions and technical requirements are described in the product documentation. Third-party software and separately licensed assets remain subject to their own licences.
We may update processing methods, models, and features. If we materially reduce the overall functionality of a paid plan during a prepaid term, we will provide reasonable notice where possible and an appropriate remedy, which may include a refund for the affected unused service.
Cancellation and refunds
You may cancel through the Paddle customer portal linked on your account page or contact support@parametra.net for assistance.
Ordinary cancellation stops future renewals and takes effect at the end of the current paid billing period. You retain paid access until then. Uninstalling iCity or stopping use does not cancel a subscription.
Our Refund and cancellation policy forms part of these terms and governs refund eligibility, credit purchases, failed jobs, and refund processing. It controls if these terms contain a conflicting summary of refund eligibility.
Under that policy, initial monthly and annual subscription payments are eligible for a full refund when requested within 14 calendar days, provided no credits granted by that payment have been used, subject to the policy's detailed conditions and exceptions. Ordinary cancellation does not automatically produce a refund or a pro-rata refund of unused subscription time.
A full subscription refund ends the refunded subscription and its paid access when processed. Associated credits or bonuses may be removed. The seven-day generation-content deletion period begins when paid access ends.
Nothing in these terms restricts mandatory consumer rights or greater rights available under Paddle's applicable terms. Earlier purchases retain refund rights promised when they were made.
Generation results and technical problems
AI and procedural results can vary and may contain errors or incomplete elements. You are responsible for reviewing outputs for your intended use, including technical suitability and any rights clearances.
iCity is a creative and visualisation tool. Its outputs do not establish engineering accuracy, regulatory compliance, or fitness for construction without appropriate professional verification.
A job may produce usable assets while another processing stage fails. We assess technical issues using the actual outputs, affected work, and credits deducted.
Failed work, incorrect debits, and materially defective results are reviewed under our Refund and cancellation policy. A job's status alone does not determine whether every requested output was delivered.
Suspension and termination
We may restrict or suspend access where reasonably necessary to address non-payment, a material breach of these terms, fraud, a security threat, or a legal requirement.
Where practical, we will explain the reason and provide an opportunity to resolve the issue. Immediate action may be necessary to prevent harm or comply with law. You may contact support to request a review.
If we permanently discontinue prepaid services or terminate your paid access without a breach by you, we will refund the unused portion of the affected prepaid subscription and unused purchased credits. Promotional credits are not redeemable for cash.
Termination does not remove rights or remedies that cannot lawfully be excluded. Previously acquired project rights continue as described in section 03, except where the relevant use itself breaches these terms or applicable law. Hosted content is handled under section 06 and the Privacy Policy.
Warranties and liability
We will provide the Service with reasonable care and skill. Except for express commitments in these terms and warranties required by law, the Service is provided “as is” and “as available”. We do not guarantee uninterrupted operation, identical generation results, or compatibility with every software configuration.
For business customers, to the extent permitted by law, Parametra is not liable for indirect or consequential loss arising from use of the Service.
Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Mandatory consumer warranties, remedies, and refund rights remain unaffected.
Changes, applicable terms, and contact
These terms, the applicable plan or order details, and the Refund and cancellation policy form the agreement governing the Service. A separate written agreement signed with Parametra prevails for the matters it expressly covers. Paddle's applicable buyer terms govern its purchase relationship with you.
We will notify you of material changes before they take effect and obtain further acceptance where required by law. Changes will not retrospectively remove refund rights, non-expiring credit benefits, or project licences already acquired. New permissions for training or library reuse do not apply retrospectively to content without the necessary rights or consent.
Any dispute is subject to applicable law and the courts with lawful jurisdiction. Nothing in these terms removes mandatory protections or access to courts available to consumers in their country of residence.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
